These Terms of Service ("Terms") govern your use of the BPM Solutionswebsite and any services provided by BPM Solutions(BPM Solutions, "we," "us," or "our"). By using our website or engaging us for a project, you agree to these Terms.
1. Use of our website
You agree to use the BPM Solutions website only for lawful purposes and not to interfere with its operation, attempt to gain unauthorized access, or scrape content for republication. Site content (copy, images, design) is owned by BPM Solutionsor its licensors and is provided for your personal, non-commercial reference.
2. Project engagements
Submitting a contact or quote form does not create a contract. We provide quotes and proposals in writing; a binding agreement only forms once we both sign a project proposal, statement of work, or invoice acknowledgment that references these Terms.
Each engagement has its own scope, deliverables, timeline, and pricing. Changes to that scope require written approval and may change the cost or schedule.
3. Payment
Unless agreed otherwise in a written proposal, projects typically require a deposit before work begins, with the remainder due before final files or goods are released. Invoices are due on receipt unless they state otherwise. Late balances may accrue a service charge of 1.5% per month or the maximum allowed by Indiana law, whichever is lower.
4. Intellectual property
Upon full payment, you receive the agreed-upon rights to the final deliverables produced for your project. Working files, source files, fonts, stock assets, and our proprietary tools remain the property of BPM Solutions or their respective licensors unless explicitly transferred in writing.
You represent that any content (logos, photography, copy, trademarks) you provide to us is yours to use or properly licensed, and you grant us permission to use it solely to deliver your project — and to display the finished work in our portfolio unless you request otherwise.
5. Approvals and revisions
You are responsible for reviewing and approving proofs, designs, and production samples. Once you approve a proof,BPM Solutions is not responsible for errors discovered after production has begun.
6. Warranties and disclaimers
We perform services with professional care. Beyond that, the website and our services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by law, BPM Solutions and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to your use of the website or our services. Our total liability for any claim related to a project is limited to the amount you paid us for that project.
8. Indemnification
You agree to indemnify and hold BPM Solutions harmless from any claim arising out of content you provide to us, your use of our deliverables in ways outside the agreed scope, or your violation of these Terms.
9. Termination
Either party may terminate a project for material breach if the other party fails to cure the breach within fifteen (15) days of written notice. Upon termination, you'll pay for all work performed and expenses incurred up to the termination date.
10. Governing law
These Terms and any project engagement are governed by the laws of the State of Indiana, USA, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Indiana, and both parties consent to personal jurisdiction there.
11. Changes to these Terms
We may update these Terms from time to time. Continued use of the website after updates means you accept the revised Terms. The "Last updated" date at the top reflects the latest version.
